Part 1

General Terms & Conditions

These General Terms apply to all products and services supplied by Footprint Group and Your Lead Kit (together "we", "us", "our"). By purchasing any service, the client ("you", "your") agrees to be bound by these terms in full.

Important Notice These terms form a legally binding agreement. Please read them carefully before purchasing. If you have any questions, contact us before proceeding.
Clause 1
Agreement & Acceptance

A contract is formed when you complete a purchase or provide written confirmation of your order. These terms, together with any product-specific terms in Part 2 and any written quotation or proposal provided to you, constitute the entire agreement between us.

We reserve the right to update these terms at any time. Changes will be communicated in advance and will not affect services already confirmed and in progress at the time of change.

Clause 2
Pricing, Payment & VAT

All prices are quoted exclusive of VAT unless otherwise stated. VAT will be charged at the prevailing rate applicable at the time of invoice.

  • One-off fees are due in full at the point of purchase before any work commences.
  • Monthly recurring fees begin from the date the service is activated and are billed on a recurring basis each calendar month.
  • Minimum commitments apply to certain services as stated in the product-specific terms below. Cancellation before the minimum term does not waive liability for the remaining contracted months.

Pricing is subject to periodic review. Any price changes will be communicated with a minimum of 30 days' notice and will take effect at the next billing cycle.

Clause 3
Intellectual Property & Copyright

All creative work, designs, code, copy, and deliverables produced by Footprint Group and Your Lead Kit remain the exclusive intellectual property of Footprint Group until full payment has been received and the completed service has been formally delivered to the client.

Upon receipt of full payment and delivery:

  • Ownership of bespoke deliverables (websites, templates, creative assets) transfers to the client.
  • Third-party components (frameworks, stock imagery, licensed fonts, platform software) remain subject to their respective licence terms and do not transfer as owned assets.
  • We retain the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing.

Where a client supplies content, imagery, copy, or brand assets, they warrant that they have full rights to use and supply such materials, and indemnify us against any third-party intellectual property claims arising from client-supplied content.

Clause 4
Design Approval & Sign-Off Process

No work will proceed to the development or production stage until the client has formally reviewed and signed off on all design concepts, layouts, and creative materials.

This sign-off process applies to all design-led services including, but not limited to, websites, landing pages, email templates, social media templates, and any campaign creative. Sign-off may be provided via email confirmation, approval through the YLK portal, or a signed approval form.

  • Design concepts will be presented for review before development begins.
  • Each service includes a defined number of revision rounds as agreed at onboarding. Additional revisions beyond the agreed scope may be chargeable.
  • Once design sign-off is received, any subsequent change requests that affect agreed layouts or functionality may be treated as additional work and quoted accordingly.
  • Delays in providing design sign-off will affect delivery timelines. We accept no liability for delays caused by client approval processes.
Clause 5
Client Communication & YLK Portal Reporting

We are committed to keeping clients informed at every stage of their engagement with us. The following standards apply to all ongoing and project-based services:

  • Initial onboarding: A member of our team will contact you within 1–2 working days of purchase to introduce themselves, confirm timelines, and outline the onboarding process.
  • Performance reporting: Clients subscribed to ongoing monthly services (SEO, Paid Ads, Social Media, Email Marketing) will have access to performance reports and data via their Your Lead Kit (YLK) portal dashboard.
  • Project updates: For project-based services (websites, templates), you will be kept informed of progress at key milestones and will be consulted before any significant decisions are made.
  • Portal access: It is the client's responsibility to maintain an active Your Lead Kit subscription where portal access to reporting is required. Loss of YLK subscription may result in loss of access to reports and service history.
Clause 6
Cancellation & Termination Policy

Monthly Services

  • Monthly services may be cancelled with a minimum of 30 days' written notice to [email protected].
  • Cancellation takes effect at the end of the billing period following the 30-day notice period. You will not be charged beyond that date.
  • Where a minimum commitment period applies (as stated in the product-specific terms), cancellation before the end of that term will result in a cancellation fee equal to the remaining contracted monthly fees.
  • We reserve the right to suspend or terminate services immediately in cases of non-payment, misuse of the platform, or breach of these terms, with written notice provided.

One-Off Services

  • Once a one-off service has been purchased and work has commenced, the fee is non-refundable.
  • Where work has not yet commenced, a cancellation may be requested in writing within 48 hours of purchase. Refunds in this scenario are considered at our discretion.
  • If a project is placed on hold or abandoned at the client's request after work has commenced, any costs incurred to date remain payable.
Clause 7
Data, Loss of Data & Security

We take reasonable and appropriate technical precautions to protect client data and assets under our management. However, the following limitations and responsibilities apply:

  • Backups: Where backup services are included (e.g. WordPress/WooCommerce Hosting, Website Hosting), we will maintain regular automated backups as described in the product terms. We strongly recommend clients also maintain their own independent backups of all critical data and content.
  • Loss of data: We do not accept liability for loss of data, content, or configurations arising from circumstances beyond our reasonable control, including but not limited to: platform outages, third-party service failures, cyber incidents, or client-side actions that result in data deletion or corruption.
  • Cancellation of services: Upon cancellation or termination of a service, client data held within managed environments may be deleted after a period of 30 days. Clients are responsible for exporting or backing up their data before cancellation takes effect.
  • Third-party platforms: Many of our services operate within or alongside third-party platforms (GoHighLevel, 20i, Meta, Google, etc.). We do not control data handling, retention, or security policies of those platforms and accept no liability for data loss occurring within third-party systems.
  • GDPR & Data Compliance: Clients are responsible for ensuring their use of our services complies with applicable data protection legislation, including the UK GDPR. List management, subscriber consent, and compliance obligations for email and communications services remain with the client.
Clause 8
Delivery & Timelines

All delivery timelines are estimates and are provided in good faith. Timelines may be affected by factors including client response times, the complexity of feedback, third-party platform dependencies, and availability of client-supplied materials.

  • Digital services and platform activations are typically completed within 2–5 working days of purchase and completion of onboarding.
  • Website, design, and campaign deliverables will have timelines agreed at the initial onboarding call and documented in the project brief.
  • Delays caused by late provision of client materials (copy, imagery, approvals, access credentials) will extend timelines accordingly. We accept no liability for such delays.
  • Physical and print items will have delivery timelines confirmed at point of order.
Clause 9
Limitation of Liability

To the maximum extent permitted by law, our total liability to you in connection with any service shall not exceed the total fees paid by you for that specific service in the 12 months preceding the claim.

We accept no liability for:

  • Loss of revenue, profits, business, or opportunity arising from the use or inability to use our services.
  • Outcomes of marketing, advertising, or SEO campaigns, including fluctuations in search engine rankings, ad performance, or audience reach.
  • Actions, policies, or algorithm changes by third-party platforms (Google, Meta, Apple, GoHighLevel, etc.) that affect campaign or service performance.
  • Any indirect, consequential, or special loss of any nature.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded by law.

Clause 10
Governing Law & Disputes

These terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith discussion before pursuing formal legal proceedings.

Part 2

Product-Specific Terms

The following terms apply in addition to the General Terms above and are specific to each product or service category. In the event of conflict, the product-specific terms take precedence for the relevant service.

FG-SETUP-001 YLK Platform Setup
Prerequisites: This service requires an active Your Lead Kit subscription. Setup cannot commence without confirmed subscription activation. It is the client's responsibility to ensure their YLK account is created and accessible before onboarding.
Scope: Platform setup is carried out to a defined standard scope covering core account configuration, pipeline setup, and essential integrations. Customisations outside this defined scope are not included and will be quoted separately.
Access requirements: The client must provide timely access to any third-party accounts, credentials, or platforms required to complete the setup. Delays in providing access will extend delivery timelines.
One-off fee: This is a one-off service. Once setup is complete and signed off, ongoing changes to the platform configuration are not included and may be subject to additional charges.
No refund after commencement: As this service involves the direct allocation of specialist time, fees are non-refundable once the onboarding call has taken place and work has commenced.
FG-WEB-001 to 005 Website Development (All Products)
Client-supplied content: Unless otherwise agreed, the client is responsible for supplying all written content, imagery, logos, and brand assets required for the build. Work cannot commence or complete without the necessary content. We accept no responsibility for delays caused by late or incomplete content supply.
Design approval: A design concept will be presented for client approval before any development or build work begins. Development will not proceed without written sign-off. Changes requested after sign-off that affect the agreed layout or scope will be assessed and may be quoted as additional work.
Revisions: Each website product includes a defined number of revision rounds as agreed at onboarding. Excessive revisions or scope changes beyond what was agreed may be subject to additional charges at our standard day rate.
Hosting: All websites require active paid hosting (FG-HOST-001) to remain live. We accept no responsibility for website downtime or data loss resulting from the client failing to maintain an active hosting subscription.
Third-party licences: Websites may incorporate licensed theme frameworks, plugins, or stock imagery. Continued use of these components beyond the initial build may require the client to maintain relevant third-party licences. These costs are not included.
FG-WEB-001 (Templated Website) — additional: This service uses a pre-selected template framework. Bespoke structural design changes outside the template are not included. The client acknowledges the site is template-based and not a fully custom design.
FG-WEB-004 (Ecommerce) — additional: Product data must be supplied in the agreed CSV format. Configuration covers up to 5,000 products within the agreed parameters. Additional products or bespoke product configurations beyond this scope are chargeable. Payment gateway setup and ongoing transaction fees are the client's responsibility.
FG-WEB-005 (Landing Pages) — additional: Each landing page is scoped and priced individually. The quoted price covers a single page. Additional pages require a separate order. Integration of lead capture forms with the YLK platform is recommended but requires an active YLK subscription.
Ownership on delivery: Full ownership of the completed website transfers to the client upon receipt of final payment and formal delivery sign-off. Prior to this, all work remains the intellectual property of Footprint Group.
FG-HOST-001 Website Hosting
Service continuity: This service is billed monthly and must remain active to keep any Footprint Group-managed website live. Cancellation or non-payment will result in the website being taken offline. We accept no liability for loss of data or business arising from service termination due to non-payment.
Domain registration: Domain registration fees are not included unless explicitly stated. The client is responsible for registering and renewing their domain name. Domains registered on the client's behalf will be transferred to the client upon request.
Backups: Regular automated backups are included as part of this service. However, clients are strongly advised to maintain their own independent backups. Restoration from backup may result in loss of data created after the most recent backup point. We accept no liability for data loss beyond the most recent available backup.
Uptime: We target industry-standard uptime via the 20i hosting platform but cannot guarantee 100% availability. Planned maintenance windows will be communicated where possible. Compensation for downtime attributable to the hosting provider is subject to their service level terms.
Email hosting: Email accounts provided as part of this package are subject to storage and account limits determined by the hosting tier. Clients are responsible for managing email storage and archiving content as required.
Cancellation: 30 days' written notice is required. Upon cancellation, the client must make arrangements to transfer their domain and any hosted assets. After 30 days from cancellation, hosted content may be permanently deleted.
FG-SEO-001 SEO — Monthly Management
No guarantee of rankings: Search engine optimisation is an ongoing, long-term process influenced by many factors outside our control, including search engine algorithm updates, competitor activity, and the technical condition of the client's website. We make no guarantee of specific rankings, traffic levels, or business outcomes as a result of SEO activity.
Minimum commitment: A minimum engagement of 3 months is required. Cancellation during the minimum term will result in the remaining monthly fees for that period becoming immediately payable.
Website access: SEO management requires ongoing access to the client's website. The client must maintain a live, accessible website and provide or facilitate access as required. Changes made to the website by the client or third parties without our knowledge may affect SEO performance and invalidate any prior optimisation work.
Reporting: Monthly performance reports covering agreed KPIs will be made available via the client's YLK portal. An active YLK subscription is required to access these reports.
Scope: This service covers on-page and technical SEO optimisation. Off-page activity (e.g. link building campaigns) is not included unless explicitly agreed and quoted separately.
FG-ADS-001 Paid Ads Management
Ad spend not included: The management fee covers strategy, setup, and ongoing management only. A minimum advertising spend of £200 per month, paid directly to the relevant advertising platform (Google, Meta, etc.), is required separately. Footprint Group does not hold or manage ad spend budgets on behalf of clients unless a separate written arrangement exists.
Minimum commitment: A minimum engagement of 3 months is required to allow sufficient time for campaign learning, data accumulation, and meaningful optimisation. Cancellation during this period will result in the remaining fees for that term becoming immediately payable.
Platform account access: The client must provide or grant access to their advertising accounts (Google Ads, Meta Business Manager, etc.). We cannot begin campaign setup without the necessary permissions.
No guarantee of results: Paid advertising performance is influenced by many factors including market competition, audience behaviour, ad platform policy changes, and budget levels. We make no guarantee of specific results, lead volumes, or return on ad spend.
Ad policy compliance: Clients are responsible for ensuring their products, services, and any content supplied for use in advertisements comply with the advertising policies of the relevant platforms. We accept no liability for ad account restrictions, suspensions, or rejections resulting from policy violations.
Reporting: Campaign performance data will be made available via the client's YLK portal dashboard.
FG-SOC-001 & FG-SOC-002 Social Media Management & Template Creation
Platform access (FG-SOC-001): The client must provide access to their social media accounts to allow content publishing on their behalf. This access must be maintained throughout the engagement. Loss of access will suspend the service without refund of fees for the affected period.
Content approval (FG-SOC-001): A content plan covering themes and copy direction will be agreed with the client at the start of each month. Posts are created and scheduled to this agreed plan. If the client requires changes to scheduled posts, these must be communicated with sufficient notice. Last-minute change requests may not be accommodated.
Scope — 12 posts per month: The monthly management service includes 12 static posts distributed across the agreed platforms. Video content, Reels, Stories, paid boosting, and influencer activity are not included unless separately agreed.
No guarantee of reach or engagement: Social media reach, engagement, and follower growth are subject to platform algorithms and audience behaviour. We make no guarantee of specific engagement metrics or business outcomes.
Template ownership (FG-SOC-002): Upon receipt of full payment, the completed template set becomes the property of the client. Templates are provided in an editable format (e.g. Canva) for the client's ongoing use. We retain the right to use anonymised versions of the templates in our portfolio.
Revisions (FG-SOC-002): Template creation includes a defined number of design review rounds. Additional revision rounds beyond the agreed scope are chargeable.
FG-EML-001 & FG-EML-002 Email Marketing Management & Template Creation
Sending platform not included: Both email services require an active email sending platform subscription (approximately £85.99/month). This cost is not included in the service fee and is the client's responsibility to arrange and maintain.
GDPR & list compliance: The client is solely responsible for ensuring their subscriber list is compliant with UK GDPR and applicable data protection law, including the maintenance of valid consent records. We will not send to lists that we have reason to believe are non-compliant. Footprint Group accepts no liability for regulatory penalties arising from the client's email list management practices.
Content sign-off (FG-EML-001): A content brief and copy will be presented for client approval before each monthly send. We require sign-off a minimum of 5 working days before the intended send date. Late approvals may result in the send being rescheduled to the following month.
Deliverability: Email deliverability is influenced by domain reputation, list quality, and subscriber engagement history. We will apply best-practice deliverability configuration, but we cannot guarantee inbox placement rates or that emails will not be filtered as spam.
DNS access (FG-EML-002): Sending domain setup requires the client to have access to their domain's DNS settings to implement the required authentication records (SPF, DKIM, DMARC). We will provide the necessary records, but the client or their domain provider must implement them. We accept no liability for deliverability issues arising from failure to implement these records.
Template ownership (FG-EML-002): Full ownership of the completed email template transfers to the client upon receipt of payment. The template is built for use on the agreed sending platform; compatibility with other platforms is not guaranteed.
FG-YLK-001 to 006 Your Lead Kit — Platform Add-Ons
YLK subscription required (all add-ons): All platform add-ons require and are contingent upon an active Your Lead Kit subscription. Cancellation or lapse of the YLK subscription will result in immediate suspension of all associated add-on services. Add-on fees are non-refundable in this scenario.
GoHighLevel platform dependency (all add-ons): These services operate within the GoHighLevel platform. Functionality, availability, and feature sets are subject to GoHighLevel's terms of service and platform updates. Footprint Group accepts no liability for changes to GoHighLevel's platform that affect the availability or performance of add-on services.
FG-YLK-001 (WhatsApp Integration): This service is subject to Meta's WhatsApp Business API terms and messaging policies. Bulk messaging requires pre-approved message templates via Meta's approval process. We accept no liability for account restrictions or bans arising from policy violations. Per-message charges may apply for certain message types outside the 24-hour service conversation window; these charges are billed directly by the platform and are not included in the monthly fee.
FG-YLK-002 (WordPress/WooCommerce Hosting): This service provides hosting for an existing or newly created WordPress site. Website design and development are not included. The client is responsible for maintaining their WordPress installation, themes, and plugins in a secure, up-to-date state. We accept no liability for security breaches or data loss arising from outdated or insecure client-managed software. Domain registration costs are separate.
FG-YLK-003 (Business Listings Management): Directory listing propagation across all 70+ platforms may take up to 2–4 weeks to fully reflect updates. We cannot guarantee the accuracy or completeness of listings on individual third-party directories, as these are subject to the policies of the respective publishers. Industry-specific add-ons (e.g. hospitality or healthcare enhancements) may carry additional charges.
FG-YLK-004 (Branded Client Portal Mobile App): App publication to the Apple App Store and Google Play Store is managed via GoHighLevel and is subject to the review and approval processes of Apple and Google. We cannot guarantee publication timelines or outcomes of platform reviews. Rejection by either platform does not entitle the client to a refund of fees paid.
FG-YLK-005 (AI Employee): AI tools operate within the capabilities and data available in the client's GoHighLevel account. AI-generated responses and outputs are automated and may not always be accurate, appropriate, or complete. Human oversight of AI interactions is strongly recommended. Footprint Group accepts no liability for outcomes arising from AI-generated communications sent to the client's customers without appropriate human review.
FG-YLK-006 (Ad Manager): This feature is included within qualifying Your Lead Kit subscription tiers at no additional monthly charge. Advertising spend paid to Meta, Google, and LinkedIn is not included and is paid directly by the client to the respective platforms. Ad account connections and permissions must be configured by the client. We accept no liability for advertising spend outcomes or platform policy enforcement actions.
